These Terms and Conditions govern the provision of legal document drafting and review services by Padang Partners ("we", "us", or "our") to clients ("you" or "Client") who engage our services through this website or by direct instruction. By engaging Padang Partners, you acknowledge that you have read, understood, and agree to be bound by these Terms. Please read them carefully before proceeding.
1. Definitions
For the purposes of these Terms, the following definitions apply:
- "Agreement" means these Terms and Conditions together with any engagement letter, quotation, or instruction accepted by Padang Partners.
- "Service" means contract drafting, non-disclosure agreement preparation, service-level agreement drafting, or any other legal document service provided by Padang Partners as described on this website.
- "Deliverable" means any document, draft, revision, or written work product produced by Padang Partners pursuant to an engagement.
- "Client Instructions" means the information, materials, and directions provided by you to Padang Partners for the purpose of preparing a Deliverable.
- "Website" means the website operated by Padang Partners at
https://padangpa.live. - "Singapore law" means the laws of the Republic of Singapore as applicable from time to time.
2. Acceptance of Terms
By submitting an enquiry form, making payment, or otherwise instructing Padang Partners to proceed with a Service, you confirm that:
- You are at least 18 years of age and have the legal capacity to enter into a binding agreement.
- If acting on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms.
- You have read these Terms in full and agree to comply with them.
Engagement of any Service constitutes acceptance of these Terms without reservation.
3. Service Description
Padang Partners provides document drafting and review services for commercial and contractual matters, including:
- Commercial Contract Drafting — preparation of supply, service, distribution, joint venture, and consultancy agreements governed by Singapore law.
- Non-Disclosure & Confidentiality Agreement Drafting — preparation and review of unilateral and mutual NDA structures for business and technology contexts.
- Service-Level Agreement Preparation — drafting of SLAs for vendor and technology service engagements, including a walkthrough session.
The scope of each Service is as described on the Website and as further specified in any quotation or engagement correspondence. Services are provided for use under Singapore law unless otherwise agreed in writing. Geographic restrictions may apply for engagements requiring multi-jurisdictional considerations.
4. Engagement & Client Instructions
An engagement commences upon Padang Partners' written confirmation and receipt of any applicable deposit or payment. You agree to provide accurate, complete, and timely Client Instructions, including all factual background necessary for preparation of the Deliverable.
Padang Partners' work product is based solely on the Client Instructions provided. We do not independently verify facts, financial positions, or representations made by third parties referenced in those instructions. The quality and accuracy of the Deliverable depend materially on the completeness of information you supply.
Requests for revisions are governed by the scope specified at the time of engagement. Revisions beyond the agreed scope may be subject to additional charges at rates notified to you in advance.
5. Client Responsibilities
You agree to:
- Provide complete and accurate information relevant to the engagement.
- Use Deliverables only for the purposes described at the time of engagement.
- Not reproduce, resell, sublicense, or distribute Deliverables for commercial purposes without prior written consent from Padang Partners.
- Seek independent legal advice where the nature or complexity of a transaction warrants it.
- Comply with all applicable Singapore laws in connection with your use of any Deliverable.
Prohibited Activities
You must not engage Padang Partners to prepare documents intended to:
- Facilitate any arrangement that contravenes Singapore law or applicable regulations.
- Misrepresent material facts to a counterparty or regulator.
- Enable activities that are fraudulent, deceptive, or contrary to public policy.
6. Intellectual Property
Upon receipt of full payment for a Service, Padang Partners assigns to you all rights in the specific Deliverable prepared for your engagement, including copyright in the final document.
Padang Partners retains all rights in its standard clauses, templates, precedents, methodologies, and know-how developed independently of your engagement. Nothing in these Terms transfers ownership of Padang Partners' general legal knowledge, drafting approaches, or underlying document frameworks.
You grant Padang Partners a limited, non-exclusive licence to use Client Instructions and related materials solely for the purpose of performing the Service.
7. Payment Terms
Fees are as quoted on the Website or as agreed in writing at the time of engagement. All amounts are in Singapore Dollars (SGD) and are inclusive of Goods and Services Tax (GST) where applicable under prevailing Singapore legislation.
- Payment timing: Full payment or a confirmed deposit is required before work commences, unless a separate payment schedule has been agreed in writing.
- Payment methods: Bank transfer, PayNow, or such other methods as notified by Padang Partners from time to time.
- Refunds: Where work has not yet commenced, a full refund may be requested within 48 hours of payment. Once drafting has commenced, fees are non-refundable for work completed up to the point of any agreed termination. Refund requests should be directed to [email protected].
- Late payment: Padang Partners reserves the right to suspend delivery of Deliverables where payment is overdue by more than 14 days.
8. Disclaimers
Padang Partners provides document drafting services only. The provision of a Deliverable does not constitute legal advice, representation, or the establishment of an advocate-and-solicitor relationship. Padang Partners is not a law firm and does not hold itself out as providing regulated legal services under the Legal Profession Act (Cap. 161).
Services are provided on an "as prepared" basis, reflecting the Client Instructions and information available at the time of drafting. No assurance is given that any Deliverable will achieve a particular commercial outcome or that a counterparty will accept its terms.
Padang Partners does not warrant that any document will be enforceable in jurisdictions other than Singapore, or that it will remain compliant with law following subsequent legislative or regulatory changes.
9. Limitation of Liability
To the fullest extent permitted by Singapore law, Padang Partners' aggregate liability to you in connection with any engagement shall not exceed the fees paid by you for the specific Service giving rise to the claim.
Padang Partners shall not be liable for:
- Indirect, consequential, or incidental losses, including loss of profit, loss of contract, or loss of business opportunity.
- Losses arising from your use of a Deliverable in a manner inconsistent with the stated scope of engagement.
- Losses resulting from inaccurate, incomplete, or misleading Client Instructions.
- Losses arising from changes in law occurring after the date of delivery of the Deliverable.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other matter that cannot lawfully be excluded under Singapore law.
10. Confidentiality
Padang Partners treats all Client Instructions and related engagement information as confidential. We will not disclose your information to third parties except where required by law, a court order, or a regulatory authority, or where disclosure is necessary to complete the Service with a trusted sub-contractor operating under equivalent confidentiality obligations.
You acknowledge that Padang Partners may retain records of completed engagements for the purposes of quality assurance and regulatory compliance, in accordance with our Privacy Policy.
11. Termination
Either party may terminate an engagement by written notice. Where you terminate after work has commenced:
- You remain liable for fees in respect of all work completed up to the date of termination.
- Any partially completed Deliverable will be provided to you at our discretion, without warranty as to completeness.
Padang Partners may terminate an engagement with immediate effect if you provide materially false information, instruct us to prepare documents for prohibited purposes, or fail to make payment in accordance with agreed terms. Clauses 6, 8, 9, 10, and 12 survive termination of any engagement.
12. Dispute Resolution
These Terms are governed by the laws of the Republic of Singapore. The parties agree to first attempt to resolve any dispute through good-faith negotiation within 21 days of written notice of the dispute.
Where negotiation does not resolve the matter, either party may refer the dispute to mediation administered by the Singapore Mediation Centre, before commencing formal proceedings. Litigation, if required, shall be conducted in the courts of Singapore, to the jurisdiction of which both parties irrevocably submit.
13. General Provisions
- Entire Agreement: These Terms, together with any engagement correspondence, constitute the entire agreement between the parties with respect to the subject matter hereof.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any provision shall not constitute a waiver of that provision or any other right.
- Assignment: You may not assign rights or obligations under these Terms without prior written consent from Padang Partners.
- Notices: Formal notices should be sent by email to [email protected] or to our registered address.
14. Changes to These Terms
Padang Partners may update these Terms from time to time to reflect changes in our services or applicable law. The revised Terms will be published on the Website with an updated effective date. Continued use of our services following publication constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
